Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Leadsgram ("Company", "we", "us", "our"), governing your access to and use of the Leadsgram platform available at leadsgram.io, its web application, APIs, integrations, and all associated services (collectively, the "Platform").
By registering an account, starting a free trial, subscribing to a plan, or clicking "I Agree," you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this Agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to any part of these Terms, you must not access or use the Platform. Use of the Platform after any modification to these Terms constitutes acceptance of the revised Terms.
Platform Description
Leadsgram is a Business-to-Business (B2B) intelligence and connectivity platform designed to help Indian businesses find, research, and reach international clients and partners. Our core services include:
- ›B2B Business Directory: A curated database of 50,000+ verified international business contacts across 40+ countries and 20+ industry verticals, filtered by country and industry
- ›Lead Export: Download verified B2B contacts in CSV format within your subscription quota for outreach and CRM import
- ›WhatsApp Business Messaging: Connect your WhatsApp Business Account via the official Meta API to manage an inbox, create and send template messages, and run bulk outreach campaigns
- ›WhatsApp Campaign Manager: Upload contact lists, select approved templates, and dispatch bulk campaigns with per-message delivery tracking
- ›Email Infrastructure: Configure custom domain email with DNS verification, create multiple email aliases, and manage a professional inbox for business correspondence
- ›Email Builder: A drag-and-drop / code-based HTML email composer for creating and reusing professional email templates
- ›Alias Accounts: Create sub-accounts for team members or delegates with scoped permissions
- ›Subscription Plans: Tiered access to data quotas, messaging volume, and features based on your selected plan
Eligibility & Registration
To access and use Leadsgram, you must:
- ›Be at least 18 years of age or the legal age of majority in your jurisdiction
- ›Be a duly authorised representative of a registered business entity, registered freelance professional, or sole proprietorship
- ›Have full legal capacity to enter into binding contracts
- ›Not be subject to any legal prohibition or sanction that restricts your use of the Platform
- ›Not have had a prior Leadsgram account terminated for policy violations unless expressly reinstated by us
- ›Provide accurate, complete, and current registration information including your business name, email address, and contact details
We reserve the right to verify eligibility information and to suspend or terminate accounts where registration details are found to be false, misleading, or incomplete.
User Accounts & Access
Primary Account
- ›You are responsible for maintaining the confidentiality of your login credentials (email/password or Google OAuth token)
- ›You must immediately notify us at [email protected] if you suspect unauthorized access to your account
- ›You are fully responsible for all activity that occurs under your account — authorized or not
- ›You may not transfer, sell, share, or otherwise convey your account credentials to any third party
- ›You may not create multiple accounts to circumvent subscription limits, data quotas, or access restrictions
Alias / Sub-Accounts
Primary account holders may create alias accounts for team members or delegate access. The following rules apply to alias accounts:
- ›Alias accounts are linked to and governed by the primary account's subscription
- ›The primary account holder is responsible for all actions taken under any alias account
- ›Alias credentials must not be shared beyond the designated individual
- ›Alias access can be revoked by the primary account holder at any time via account settings
- ›If the primary account is suspended or terminated, all associated alias accounts are immediately suspended
Account Security
Sharing your account credentials or alias credentials with unauthorised individuals is a violation of these Terms and may result in immediate account suspension. We are not liable for losses arising from your failure to maintain credential security.Subscriptions, Billing & Payments
Available Plans
We currently offer the following subscription tiers (pricing subject to change with 14 days' notice):
All plans grant access to the WhatsApp Business and Email Platform features. Lead download quotas are per calendar month and do not roll over. Feature access may vary by plan as described on our pricing page.
Billing Cycle & Payments
- ›Subscriptions are billed in advance on a monthly cycle from the date of initial subscription
- ›All prices are in Indian Rupees (INR) inclusive of applicable taxes unless stated otherwise at checkout
- ›Payments are processed exclusively through Razorpay — a PCI-DSS compliant, RBI-authorized gateway
- ›By providing payment credentials, you authorize Razorpay to charge the applicable subscription fee on each billing date
- ›If a payment fails, we will retry up to 3 times over 7 days. Continued failure may result in service suspension
- ›You will receive an email notification before your billing date and upon each successful or failed transaction
Refund Policy
- ›Monthly subscriptions are non-refundable once a billing cycle has commenced, except where required by applicable Indian law
- ›If you experience a critical platform failure (a feature described on our pricing page is completely non-functional) within the first 7 days of a billing cycle, contact support for a pro-rated credit or refund review
- ›Refund requests must be submitted within 7 days of the billing date with a clear description of the issue
- ›Accounts terminated for policy violations (see Section 22) are not eligible for any refund
- ›Chargebacks initiated without first contacting our support team may result in permanent account suspension
Price Changes
We reserve the right to modify subscription pricing. Price changes will be communicated via email at least 14 days before taking effect. Your continued use after the effective date of the price change constitutes acceptance of the new pricing.
Free Trial
New users may access a limited free tier of Leadsgram that provides sample leads and restricted feature access without requiring a credit card. The following conditions apply to the free trial:
- ›Free access is limited to sample leads (a small curated subset of the full directory) and does not include full filtering, unlimited export, WhatsApp campaign, or email platform features
- ›One free trial per person, per email address, and per business entity — duplicate accounts to exploit trial access are prohibited
- ›We reserve the right to modify, limit, or discontinue the free trial at any time without notice
- ›Upgrading from the free tier to a paid plan activates full feature access immediately and initiates your first billing cycle
- ›Free trial accounts that are inactive for 90 consecutive days may be automatically closed and associated data deleted with 30 days' prior notice
Platform Features & Usage Limits
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform features within the scope of your plan. Feature availability and usage limits are defined by your subscription tier and enforced through technical controls.
- ›Lead download quotas are enforced per calendar month and reset on your billing anniversary date
- ›WhatsApp message sending may be subject to Meta's own per-day and per-template rate limits, which are outside our control
- ›Email sending is subject to the rate limits of our SMTP infrastructure provider
- ›API integrations (e.g., WhatsApp webhook processing) are subject to our platform-level rate limits to ensure stability for all users
WhatsApp Business Integration
Leadsgram provides access to the WhatsApp Business Cloud API through Meta's authorised integration programme. Connecting your WABA is subject to Meta's own approval and policies, in addition to these Terms.
Your Obligations
- ›Use the WhatsApp integration exclusively for legitimate business communications — not personal messaging
- ›Ensure all template messages submitted for Meta's approval are truthful, non-misleading, and comply with WhatsApp's Message Template Guidelines
- ›Obtain verifiable opt-in consent from each recipient before initiating a WhatsApp conversation
- ›Honour opt-out requests immediately — recipients who reply STOP or request to be removed must not receive further messages
- ›Never send prohibited content including spam, adult material, controlled substances promotion, financial scams, hate speech, or content violating WhatsApp's Commerce Policy
- ›Maintain your WABA quality rating — a low quality rating triggered by spam complaints may cause Meta to limit or suspend your number's messaging capability
Leadsgram's Responsibilities
- ›We will maintain our integration with Meta's API in accordance with Meta's Business Solution Provider requirements
- ›We will pass Meta webhook events (delivery receipts, inbound messages, template status updates) to your inbox in real time
- ›We will store your access token in encrypted form and never expose it in API responses
Meta Policy Compliance
Leadsgram is not responsible for actions taken by Meta including WABA suspension, template rejection, or messaging restrictions resulting from your violation of Meta's policies. We may suspend your WhatsApp integration access if your usage poses a risk to our BSP relationship with Meta.WhatsApp Campaign & Bulk Messaging
The Campaign Manager allows you to send templated WhatsApp messages to a list of contacts at scale. The following rules apply:
- ›Template requirement: All bulk outreach messages must use a Meta-approved message template. Sending free-form messages to contacts who have not initiated a conversation within 24 hours is prohibited by Meta policy
- ›Consent requirement: You must have obtained prior opt-in consent from every recipient in your campaign audience before uploading them or sending messages. This is a hard requirement of WhatsApp's terms — not a recommendation
- ›Prohibited campaigns: Campaigns promoting gambling, adult content, tobacco, firearms, multi-level marketing, cryptocurrency pump-and-dump, phishing, or any activity illegal under Indian law or applicable local law are strictly prohibited
- ›Volume limits: Campaigns are subject to Meta's API rate limits (typically 1,000 messages/day for a new number, scaling with quality rating). Our queue processor distributes sends to comply with these limits
- ›Responsibility: You are fully responsible for the content, accuracy, and compliance of every campaign you send. Leadsgram is a delivery platform — we do not review or pre-approve campaign content
Email Infrastructure Services
When using the Leadsgram email platform, you agree to the following:
Domain & DNS
- ›You represent that you own or are authorised to use the domain you configure for email
- ›You are solely responsible for correctly adding the DNS records (SPF, DKIM, DMARC, MX) we provide to your domain registrar
- ›Incorrect DNS configuration is your responsibility and Leadsgram is not liable for email delivery failures resulting from DNS errors
Acceptable Email Use
- ›Use the email platform only for lawful business communications with consenting recipients
- ›Do not send unsolicited bulk email (spam), phishing emails, malware, or content that violates anti-spam laws including India's IT Act or CAN-SPAM
- ›Do not use email aliases to impersonate other individuals, companies, or government authorities
- ›We reserve the right to suspend email services if your sending practices generate excessive bounces (>5%), spam complaints (>0.1%), or violate our SMTP provider's policies
Business Directory & Data Accuracy
The Leadsgram business directory is compiled through original research and aggregation of publicly available business information. It is designed as a starting point for B2B discovery — not as a guaranteed source of current, complete, or error-free business intelligence.
- ›Directory data is sourced from publicly accessible records including government trade registries, official websites, and industry publications
- ›We update the directory periodically (approximately every 30 days) but cannot guarantee that all records reflect the current state of each listed business
- ›You may access directory records only within your subscription quota and for lawful, legitimate business development purposes
- ›You may not use directory data to send spam, harvest emails for mass sending, or engage in any activity that violates applicable anti-spam or data protection laws
- ›You may not scrape, copy, re-sell, redistribute, or publish directory data outside the Platform without our written consent
Contact CSV Uploads
You may upload CSV files of phone numbers to build WhatsApp campaign audiences. The following terms apply to CSV uploads:
- ›Ownership and consent: You warrant that you own or have obtained the legal right to use every phone number in your upload, and that each contact has provided verifiable opt-in consent to receive WhatsApp communications from your business
- ›Data accuracy: You are responsible for the accuracy and format of uploaded data. Malformed numbers or incorrect country codes will result in validation failures and are not eligible for refunds of campaign credits
- ›Storage: Uploaded contacts are stored in your Leadsgram workspace and are not shared with or accessible by other users or third parties (except Meta for WhatsApp number validation)
- ›Prohibited data: Do not upload contact lists purchased from data brokers, scraped from websites, or obtained without explicit consent. Uploading such data violates these Terms and applicable data protection law
- ›Retention: You can delete your uploaded contact lists at any time. We retain uploaded contacts for the duration of your subscription and delete them within 30 days of account closure
Acceptable Use Policy
You agree to use Leadsgram exclusively for lawful, legitimate business purposes consistent with these Terms. The following activities are strictly prohibited:
- ›Sending spam, bulk unsolicited communications, or harassing messages via any platform feature
- ›Impersonating any person, business, government authority, or Leadsgram itself
- ›Scraping, harvesting, or systematically extracting platform data using automated tools, bots, or scripts without written authorization
- ›Attempting to gain unauthorized access to another user's account, data, or the platform's backend systems
- ›Introducing malware, trojans, ransomware, spyware, or any malicious or destructive code
- ›Engaging in any form of fraud, deception, misrepresentation, or identity theft
- ›Circumventing technical controls, rate limits, subscription quota enforcement, or access restrictions
- ›Re-selling, sub-licensing, or otherwise commercializing access to the Platform or its data without written authorization
- ›Using the Platform for activities that may damage Leadsgram's reputation or our third-party API relationships (particularly with Meta)
- ›Reverse-engineering, decompiling, or disassembling any part of the Platform's software
Consequences of Violations
Violations of this Acceptable Use Policy may result in: immediate account suspension without refund; permanent termination; reporting to relevant law enforcement authorities; and/or civil legal action to recover damages. We monitor usage patterns and reserve the right to act without prior warning when we detect clear policy violations.Prohibited Industries & Use Cases
Leadsgram may not be used by businesses operating in, or for campaigns promoting, the following industries or activities:
- ›Online gambling, sports betting, or casino operations where not legally licensed
- ›Adult entertainment, sexually explicit content, or escort services
- ›Tobacco products, e-cigarettes, or vaping products (in jurisdictions where promotional marketing is prohibited)
- ›Firearms, ammunition, explosives, or weapons of any kind
- ›Unlicensed financial services including pyramid schemes, Ponzi schemes, or unauthorized investment solicitation
- ›Cryptocurrency or token projects primarily intended to solicit investment from the general public without regulatory authorization
- ›Counterfeit goods, pirated software, or any intellectual property infringement
- ›Multi-level marketing (MLM) schemes that are illegal or classified as pyramid schemes under applicable law
- ›Hate groups, extremist organizations, or content promoting discrimination
- ›Any activity classified as illegal under Indian law or the laws of the recipient's jurisdiction
We reserve the right to determine, at our sole discretion, whether a use case falls within a prohibited category and to suspend access accordingly.
Intellectual Property
All intellectual property rights in and to the Leadsgram Platform — including software architecture, source code, UI design, trademarks, brand assets, data compilation methodology, research frameworks, and the business directory as a database — are owned by or licensed to Leadsgram. These Terms grant you no intellectual property rights beyond the limited licence described in Section 7.
- ›The Leadsgram name, logo, and brand are trademarks of the Company and may not be used without express written consent
- ›The business directory is a proprietary database compilation protected under Indian copyright law and database rights
- ›You may not reproduce, copy, distribute, modify, or create derivative works from any part of the Platform's codebase, UI, or data without written authorization
- ›Any feedback, suggestions, or ideas you submit about the Platform may be used by us without restriction or compensation
User-Generated Content
"User Content" means any content you create, upload, or transmit through the Platform, including email templates, WhatsApp message templates, campaign names, notes on contacts, support messages, and CSV data.
- ›You retain ownership of User Content you create on the Platform
- ›You grant Leadsgram a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to provide the Platform services to you
- ›You warrant that User Content you upload does not infringe any third-party intellectual property rights, privacy rights, or applicable laws
- ›We do not review or moderate User Content before it is transmitted (e.g., before a campaign is sent), but we may review content after the fact if we receive a report of a policy violation
- ›You are solely responsible for User Content you create and the consequences of its transmission
Third-Party Services & Integrations
Your use of features connected to third-party services is additionally governed by each provider's own terms. Acceptance of these Terms does not modify your relationship with those providers:
- ›Meta Platforms, Inc. — WhatsApp Business API usage is governed by Meta's Terms of Service, WhatsApp Business Policy, Commerce Policy, and Messaging Policy. Meta may unilaterally restrict, suspend, or terminate API access
- ›Razorpay Software Pvt. Ltd. — all payment transactions are subject to Razorpay's Terms of Use and Privacy Policy. Razorpay is regulated by the Reserve Bank of India
- ›Google LLC (Firebase) — authentication services are provided by Google Firebase and subject to Google's Terms of Service and Privacy Policy
- ›Email Infrastructure Provider — outbound email delivery is subject to our SMTP provider's Acceptable Use Policy. Violations of their AUP may result in our service being restricted
- ›Domain Registrars & DNS Providers — domain configuration and DNS management are solely within your registrar's control and governed by your registrar's terms
Leadsgram is not responsible for the availability, reliability, pricing changes, or policy changes of any third-party service. Interruptions to third-party services do not entitle you to refunds unless the interruption is caused by a Leadsgram-side failure.
Disclaimers & Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, LEADSGRAM EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- ›Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- ›Any warranty that the Platform will be uninterrupted, error-free, virus-free, or secure
- ›Any warranty regarding the accuracy, completeness, reliability, currency, or fitness of business directory data
- ›Any warranty that WhatsApp campaigns will achieve a particular delivery, open, or conversion rate
- ›Any warranty that email sent through the Platform will be delivered, not marked as spam, or opened by recipients
- ›Any warranty regarding the outcome of business connections, negotiations, or transactions facilitated through the Platform
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEADSGRAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- ›Indirect, incidental, special, consequential, exemplary, or punitive damages of any nature
- ›Loss of profits, revenue, business opportunities, goodwill, or anticipated savings
- ›Loss of data or damage to data, including loss of WhatsApp contacts, email content, or lead export files
- ›Damages arising from reliance on inaccurate, incomplete, or outdated business directory information
- ›Disruption or suspension of third-party integrations (WhatsApp, email, payments) due to provider-side issues or policy changes
- ›Unauthorized access to your account resulting from your failure to secure credentials
- ›Failed WhatsApp message deliveries, blocked campaigns, or template rejections by Meta
- ›Commercial disputes, losses, or liabilities arising from business relationships initiated via the Platform
Indemnification
You agree to indemnify, defend, and hold harmless Leadsgram, its officers, directors, employees, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- ›Your use of the Platform in violation of these Terms, our Privacy Policy, or applicable law
- ›User Content you upload, create, or transmit through the Platform
- ›Your use of WhatsApp integration or email services in violation of Meta's, Google's, or our SMTP provider's policies
- ›Your violation of any third party's intellectual property, privacy, or other legal rights
- ›Campaigns or communications you send that violate anti-spam laws, consumer protection laws, or data protection regulations
- ›Any dispute between you and a third party (including recipients of your campaigns) arising from your use of the Platform
- ›CSV contact uploads that violate consent requirements or data protection obligations
Suspension & Termination
Termination by You
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. You retain access to paid features until the cycle ends. To permanently close and delete your account, submit a request via the Delete My Data page.
Suspension or Termination by Leadsgram
We reserve the right to suspend or permanently terminate your account at any time, with or without notice, if:
- ›You breach any provision of these Terms or our Acceptable Use Policy
- ›Your usage poses a risk to our relationship with Meta, Razorpay, or other critical service providers
- ›We receive credible, verified reports of illegal activity, fraud, or abuse originating from your account
- ›You fail to make required subscription payments after the retry period
- ›We receive a valid law enforcement request requiring us to restrict access
- ›We discontinue the Platform or a particular feature (with 30 days' notice where possible)
Effect of Termination
- ›Upon termination, your access to all Platform features, data, and exports is immediately revoked
- ›Your data will be retained for 30 days post-termination to allow you to request a copy, after which it will be deleted per our retention schedule
- ›Subscription fees already paid are non-refundable except where required by law
- ›Sections of these Terms that by their nature should survive termination (Indemnification, Limitation of Liability, Intellectual Property, Governing Law) will continue to apply
Force Majeure
Leadsgram shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by circumstances beyond our reasonable control, including:
- ›Natural disasters, floods, fires, earthquakes, or other acts of nature
- ›Government actions, regulations, embargoes, or sanctions
- ›Internet or telecommunications infrastructure failures beyond our direct control
- ›Third-party service outages (including Meta API downtime, Razorpay outages, or Firebase outages)
- ›Cyber attacks, distributed denial-of-service (DDoS) attacks, or large-scale security incidents
- ›Pandemics, epidemics, or public health emergencies
In a force majeure event, we will make reasonable efforts to notify affected users and restore service as quickly as practicable. Subscription fees will not be refunded for downtime attributable to force majeure events, but we may, at our discretion, offer service credits.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
Dispute Resolution Process
- ›Step 1 — Informal Resolution: Before filing a formal claim, contact us at [email protected] with subject "Formal Dispute — [Your Name]". We will attempt resolution within 10 business days
- ›Step 2 — Mediation: If informal resolution fails, the parties agree to attempt mediation under the Mediation Act, 2023 (India) before pursuing litigation
- ›Step 3 — Jurisdiction: Any disputes not resolved through informal or mediation processes shall be subject to the exclusive jurisdiction of the competent civil courts in India
Miscellaneous
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not be deemed a waiver of any subsequent breach of the same or any other provision.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable plan-specific terms or agreements, constitute the entire agreement between you and Leadsgram with respect to the Platform and supersede all prior agreements, understandings, and representations.
Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Leadsgram may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to affected users.
Notices
Any notices from Leadsgram will be delivered to the email address associated with your account. It is your responsibility to keep your email address current and to monitor communications from us. Notices to Leadsgram must be sent to [email protected].
